HP Compaq 6735s Laptop - Vista 32bit / 64bit OS

Quick question....currently using a HP 6735s with an OE Vista 32bit OS installed, as this is 64bit capable I cant see any reason NOT to upgrade it - and chuck in some more RAM
As its OEM is the activation code going to be an issue?
Never had to really play around with this before as Ive been using W2K on the desktop
Ive also downloaded Win7 64bit, but dont want the hassle of it switching off come next year

The activation code between 32bit and 64bit is different, if you've got an OEM code for the 32bit version it won't work with the 64bit version.
